Terms and Conditions

These Terms and Conditions (the "Agreement") govern your access to and use of the website located at https://nas-eu.ugreen.com/ (the "Site"), operated by HONG KONG UGREEN LIMITED (together with our subsidiaries, "UGREEN," "we" or "us").

This Agreement includes general terms applicable to all users of the Site, as well as specific terms applicable to customers purchasing products ("Products") from the Site. By accessing the Site or creating an account, you agree to be bound by the general terms of this Agreement. By placing an order for Products, you agree to be bound by the terms applicable to purchases.

Language

We may translate these Terms into multiple languages. In the event of any inconsistency between the English version of these Terms and the other language versions, the English version shall prevail.

Additional Terms and Policies

Our collection and use of your personal data is described in our Privacy Policy and our use of tracking technologies is described in our Cookie Policy. By agreeing to these Terms and Conditions, you acknowledge that you have read and understood these policies.

Account and Password Security

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password. We encourage you to use a "strong" password (a password that uses a combination of upper and lower case letters, numbers, and symbols) with your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. UGREEN cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements. This clause does not exclude or limit any security obligations we have under applicable law.

Our Intellectual Property

All images, videos, trademarks, etc. appearing on the Site are subject to our intellectual property rights.

Use of the service may require you to download software for which UGREEN grants you a personal, non-transferable and non-exclusive license to use such software solely for the purpose of using the service. You may not copy, modify, reverse engineer or attempt to extract the source code of our web pages or software except to the extent permitted by applicable law (e.g., where strictly necessary for interoperability or security purposes).

Orders, Pricing and Payment

By placing an order on the Site, you make an offer to purchase the Products listed in your order. All orders must be accepted by us. We may decline an order for legitimate reasons (e.g., suspected fraud, product or pricing error, unavailability). If your order is declined after payment, we will promptly refund all amounts paid.  All prices displayed on the Site are in Euros (€) and include all applicable taxes (TVA).In most cases, prices include delivery charges; if not, they will be added to the total amount due and shown at the checkout stage. We accept payment via PayPal and other payment methods as may be displayed at checkout. Payment must be made in full before dispatch of the goods.  

Delivery and Transfer of Risk

Risk of loss or damage passes to you when you, or a third party other than the carrier and indicated by you, physically take possession of the goods. If you choose your own carrier (not offered by us), risk passes upon hand-over to that carrier.

Right of Withdrawal

You have the right to withdraw from a contract for the purchase of Products without giving any reason within fourteen (14) days. The withdrawal period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the goods. To better protect your interests, we provide a 30-day right of withdrawal.

To exercise the right of withdrawal, you must inform us of your decision by an unequivocal statement in writing. You must send back the goods without undue delay and in any event not later than 7 days from the day on which you communicate your withdrawal from this contract to us. You will have to bear the direct cost of returning the goods unless we have not informed you of this obligation. You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

If you withdraw from the contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision.

We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest. We will reimburse you using the same means of payment you used for the initial transaction, unless you expressly agree otherwise.

The right of withdrawal does not apply in the following cases:  (for example, goods made to the consumer’s specifications or clearly personalized; sealed goods not suitable for return for health protection or hygiene reasons once unsealed; goods which are liable to deteriorate or expire rapidly; or goods inseparably mixed with other items after delivery).

Legal Guarantees and Commercial Warranty

All products sold on the Site benefit from the legal guarantee of conformity  and the guarantee against hidden defects.

Legal Guarantee of Conformity: The seller is required to deliver a product that conforms to the contract. This guarantee applies to defects existing at the time of delivery and which appear within two (2) years from delivery. For new goods, any defect appearing within this two-year period is presumed to have existed at the time of delivery. For second-hand goods, defects appearing within twelve (12) months of delivery are presumed to have existed at the time of delivery. 

In accordance with the legal guarantee of conformity, you have the right to choose between the repair or replacement of the goods. However, if your chosen remedy is impossible to implement, or if it entails a manifestly disproportionate cost for the company compared to the other remedy (taking into account the value of the goods, the significance of the defect, and whether the alternative remedy could be implemented without major inconvenience to you), the company reserves the right to opt for the other solution. Given the nature of our products and our international after-sales service model, repair may in many cases constitute such a disproportionate cost. In such instances, we will prioritize providing you with a free replacement to ensure you promptly receive a fully functional product.

This legal guarantee applies independently of any commercial warranty that may be granted. Where the product includes digital elements, we will inform you of and provide the updates necessary to maintain conformity for a reasonable period, as required by law.

Guarantee Against Hidden Defects: You may also implement the guarantee against hidden defects of the item sold. In this case, you may choose between the rescission of the sale or a reduction of the sale price.

Any commercial warranty offered by UGREEN does not affect your statutory rights under the legal guarantees described above.

Limitation of Liability

To the maximum extent permitted by applicable law, UGREEN shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your access to or use of, or inability to access or use, the services.

Nothing in these Terms shall affect any mandatory statutory rights that apply to you as a consumer, including the legal guarantees described herein. The limitations in this section shall not apply to any liability of UGREEN resulting from our own gross negligence or willful misconduct, or for death or personal injury caused by our negligence. 

User Conduct

You agree to use this website only for lawful purposes and in accordance with all applicable laws, regulations, and policies. You are prohibited from using the website for any fraudulent, illegal, or harmful activities.

Goods Not for Resale or Export

You represent and warrant that you are purchasing Products for your personal or household use and not for commercial resale. You agree to comply with all applicable laws and regulations, including the export control laws and regulations of the European Union.

Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, excluding conflict of laws rules. However, this choice of law shall not deprive you of the protection afforded to you by the mandatory provisions of EU consumer protection law that cannot be derogated from by agreement. In all circumstances, you shall enjoy at least the minimum protection afforded by European consumer protection law.

Any dispute, claim, or controversy arising out of or in connection with these Terms shall in principle be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) in accordance with the Arbitration Rules of the Hong Kong International Arbitration Centre (“HKIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference into this clause. Notwithstanding the foregoing, nothing in these Terms shall be construed as limiting or depriving you, as a consumer, of your statutory right to bring legal proceedings before the competent courts of your place of habitual residence. This right is always preserved.

Before initiating any arbitration or court proceedings, you agree to first contact us at service.nas.eu@ugreen.com and allow us a period of at least sixty (60) days to attempt to resolve the dispute informally through amicable negotiations.

You also have the right to seek free assistance from a consumer mediator for the amicable resolution of a dispute. To this end, you are entitled to use the Online Dispute Resolution (ODR) platform provided and managed by the European Commission, accessible at http://ec.europa.eu/consumers/odr.

Termination of the Services

We may terminate or suspend your access to the Site at any time, with reasonable notice, for any reason, including for breach of these Terms. We may terminate or suspend your access immediately and without prior notice if there is a good cause, such as a serious breach of your obligations.

Termination or suspension does not affect your statutory rights (including withdrawal rights and legal guarantees) or our obligations in respect of any orders already accepted. We will notify you of termination or suspension by email or via your account, unless immediate action is required for good cause.
